Mr. Oliver Schwegmann (born on the 15th of November 1973 in Löningen, Germany) joined the Board in June 2017. He is responsible for Marketing, Sales, Production & Logistics, Purchase and Research & Development at the Company. Prior to this he worked as Country Managing Director for L'Oréal Suisse and held management posts at Hero AG, Mars GmbH and August Strorck KG.

Mr. Ralf Brühöfner (born on the 12th of February in Herford, Germany) has been working with the the Berentzen-Gruppe Aktiengesellschaft since 2001. In June 2007 he was appointed to the Board. He is responsible for Finance, Controlling, Human Resources, Information Technology (IT), Law, Corporate Communications, Investor Relations and Corporate Social Responsibility at the Company. He previously held senior positions in the packaging industry (Hermann Heye KG, now ArdaghGroup) and at Balcke-Dürr AG. He started his career at PricewaterhouseCoopers.

Corporate Governance

In accordance with Section 161 of German Companies Act, the Executive Board and Supervisory Board of the Berentzen-Gruppe Aktiengesellschaft are obliged to issue an annual declaration to the effect that whether the recommendations of the German Corporate Governance Code were and are being complied with.

The German Corporate Governance Code contains conduct recommendations for management and supervision of listed German companies. The Code of Conduct will increase transparency in German companies and thus provide a greater protection for investors.

Vorstand und Aufsichtsrat der Berentzen-Gruppe Aktiengesellschaft sind verpflichtet, jährlich zu erklären, dass den im Deutschen Corporate Governance Kodex niedergelegten Empfehlungen der Regierungskommission Deutscher Corporate Governance Kodex entsprochen wurde und wird oder welche Empfehlungen nicht angewendet wurden oder werden und warum nicht.

Der Deutsche Corporate Governance Kodex enthält international und national anerkannte Standards guter und verantwortungsvoller Unternehmensführung und hat zum Ziel, das deutsche Corporate Governance System transparent und nachvollziehbar zu machen. Managers' Transactions

According to Art. 19 of the Regulation (EU) No 596/2014 on market abuse (market abuse regulation – MAR), the members of the Board of Management and the Supervisory Board, persons discharging managerial responsibilities, as well as persons closely associated with them, are obliged to notify of every transaction conducted on their own account of financial instruments issued by Berentzen-Gruppe Aktiengesellschaft if the total amount of such transactions for any given year exceeds the threshold of EUR 5,000.

Berentzen-Gruppe Aktiengesellschaft as issuer has to make public transactions subject to this notification requirement according to the regulations of the MAR.
